The 3C1 is a piece of the Investment Company Act of 1940. The 3C1 permits the exclusion of investment companies from standard registration requirements with the Securities and Exchange Commission (SEC) if they have fewer than 100 U.S. investors. The 3C1 is often used in Private Placement Memorandums or PPMs. PPMs target accredited investors.
